Trading history 3.1 The following information and explanations have been provided by the directors of the Company. The Firm wishes creditors to note that no inquiries have been made as to whether there are any inaccuracies: 3.2 The Company was incorporated on 24th March 2022 and commenced trading on 9 April 2022. The original trading address was Artyard Café, The Drive, Enstone, Chipping Norton, OX7 4NF, which was leased for £3,560 per month for the initial period of 7 years. The Company traded as a café/restaurant and pub providing food, drinks and entertainment. 3.3 The Company was initially capitalised by the shareholders providing loans of £25,000 each from personal savings. 3.4 In July 2022 the Company began experiencing difficulties due to a combination of raising inflation, not welcoming local community and sudden change in circumstances of directors’ personal life as we found out we were expecting a baby. All bills were increasing, staff was asking for raises in pay, and the loan money was running short. The company was not making any money, directors were not able to pay their own wages, and the market was promising further price increases. 3.5 The company was trying to raise the menu prices but was welcomed with bad response and fewer customers. We cut the cost of everything that was not necessary, including cutting off part-time staff and were reaching deep into our pockets to keep the company afloat. 3.6 The company then reached out for advice from the Landlord who suggested to look for someone to replace the business on the lease. Shortly after we found someone who was ready to take over the premises. Then, in August 2022, the Company reached out for advice to F A Simms & Partners and accountant Fairmile Accounting. The Company was advised to not enter into Voluntary Liquidation if there is a chance to close all accounts with the creditors and cease trading according to the handover schedule. Mary Chacta 3.7 During the handover in September 2022 the Company started to face more difficulties as service providers were not willing to take mitigating circumstances into account. Directors’ mental health decreased and the decision was made to Voluntary Liquidate the company as despite best efforts we were unable to find assets to accommodate all creditors as we prioritised paying last payroll to staff. 3.8 During those few months of trading directors often did not proceed the payslips for their work and topped up business account with personal money to accommodate the business outgoings. 3.9 Directors sought advice concerning the current position and possible future of the Company and was advised of the options available. On 31 October 2022 the director decided to place the Company into liquidation. The Company ceased trading on 24 September 2022.
